YOKED — TERMS OF SERVICE

Please read these Terms carefully. They contain important provisions about your subscription and billing (§6), the limits of our verification and screening (§8.1-§8.3) and your own responsibility for safety (§8.4-§8.5), disclaimers and limitations of our liability (§11–§12), and how disputes are resolved (§17).
1. Introduction and Acceptance of These Terms
1.1 Who we are. Yoked (the "Service" [consider defining the Service / stating what services Yoked provides]) is operated by Yoked Limited, a company incorporated in Hong Kong with its registered office at [REGISTERED ADDRESS] ("we", "us", "our").
1.2 Agreement. These Terms of Service ("Terms") form a legally binding agreement between you and us governing your access to and use of the Service. Our Privacy Policy and Community Guidelines are incorporated into and form part of these Terms.
1.3 Acceptance. By creating an account, accessing, or using the Service, you confirm that you have read and agree to these Terms. If you do not agree, do not use the Service.
2. Eligibility
2.1 Minimum age. You must be at least 18 years old to use the Service. The Service is intended solely for adults.
2.2 Capacity and legality. You represent and warrant that you have the legal capacity to enter into these Terms; that you are not barred from using the Service under the laws of Hong Kong or any other applicable jurisdiction; and that your use complies with all laws applicable to you.
2.3 Background representation. You represent and warrant that you have not been convicted of, and are not subject to any court order or registration requirement relating to, a felony, an indictable offence, a sexual offence, or any violent crime either in Hong Kong or elsewhere. You acknowledge that we do not verify this (see §8.1) and rely on your representation.
2.4 One account. You may hold only one account, and you may not use the Service if we have previously banned or removed you.
2.5 If at any time you cease to meet these eligibility requirements, all authorization to access the Service and the license granted under §4.1 is automatically revoked. You must immediately
delete your account, failing which we shall delete your account and remove your access to the Service in our sole discretion without prior notice.
3. Your Account
3.1 Registration. You agree to provide accurate, current, and complete information and to keep it up to date.
3.2 Security. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us immediately at [SUPPORT CONTACT] of any unauthorised use or suspected breach.
3.3 Your responsibility. You are solely responsible for your interactions with other users and for the content you submit.
4. License to Use the Service; Acceptable Use
4.1 License. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal, non-commercial use.
4.2 Restrictions. You must not, and must not permit others to: (a) copy, modify, reverse-engineer, decompile, or create derivative works of the Service except as permitted by law; (b) use bots, scrapers, crawlers, or other automated means to access, collect data from, or interact with the Service; (c) circumvent, disable, or interfere with security, rate-limiting, or access-control features; (d) resell, rent, or commercially exploit the Service or other users' information; (e) introduce malware or otherwise disrupt the Service; or (f) use the Service for any unauthorized or unlawful purpose.
5. User Content and Conduct
5.1 Your content. "User Content" means anything you submit, post, or transmit through the Service (photos, profile text, messages, and other materials). You retain ownership of your User Content.
5.2 License to us. You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, adapt (e.g., reformat or resize), display, and distribute your User Content solely for the purposes of operating, providing, securing, moderating, and improving the Service. This license ends when your User Content or your account is deleted, except for (a) content already shared with others that they retain, and (b) copies retained by us for legal, safety, backup or other purposes as described in the Privacy Policy.
5.3 Content and conduct standards. You must not post, send, or engage in content or conduct that:
(a) is sexual or pornographic, or contains nudity. Profile and other photos must not depict swimwear, underwear, or similarly revealing clothing, and you must not send sexual content or unsolicited sexual material to other users;
(b) harasses, bullies, threatens, intimidates, stalks, or defames any person, including continuing to contact someone after they have stopped responding, unmatched, or asked you to stop;
(c) constitutes hate speech or attacks or demeans people on the basis of race, ethnicity, national origin, religion, disability, sex, gender, gender identity, sexual orientation, age, or other protected characteristic;
(d) is fraudulent, deceptive, or a scam, including misrepresenting your personal details (e.g. identity, age, employment and qualifications), soliciting money, financial information, gifts, or "investment opportunities" from other users, "catfishing," or impersonating any person or entity;
(e) is commercial or promotional, including advertising, spam, solicitation, multi-level marketing, escorting, sex work, or directing users to other platforms or paid services;
(f) discloses another person's private or confidential information, private communications, or intimate images without consent;
(g) involves minors in any way, including sexualised content involving minors (which will be removed and reported to the appropriate authorities, and in which case, we will share your personal data with the appropriate authorities in accordance with §7 of our Privacy Policy);
(h) promotes or facilitates illegal activity, violence, terrorism or violent extremism, human trafficking, illegal drugs or weapons, self-harm or suicide, or other harmful activities;
(i) infringes any intellectual-property, privacy, or other right of any third party; or
(j) is inconsistent with the intended use of the Services.
5.4 Community Guidelines. Our Community Guidelines explain these standards in more detail and apply in addition to this section.
5.5 Moderation. We may, but are not obliged to, review, screen, moderate, refuse, remove, or restrict any User Content, and may use automated tools to do so (see §8.3). Enforcement action is addressed in §16.
6. Subscriptions, Billing, and Cancellation
6.1 Subscriptions only. Paid features are offered exclusively on a subscription basis ("Subscription"). We do not currently offer one-off or consumable purchases.
6.2 Auto-renewal. Subscriptions automatically renew for successive periods of the same length at the then-current price, unless you cancel before the end of the current period. By purchasing a Subscription you authorise this recurring charge.
6.3 Billing. Subscriptions are billed through the applicable app store (e.g., Apple App Store, Google Play) or our designated payment processor, in accordance with their terms. We do not store full payment-card numbers.
6.4 Price changes. We may change Subscription prices. Changes will not affect the period you have already paid for; we will give reasonable advance notice for any price changes, and continued use after a price change takes effect constitutes your acceptance of the price change.
6.5 Cancellation. You may cancel at any time through your app-store account settings or as otherwise indicated in the Service. Cancellation stops future renewals, and you will retain access to the Service until the end of your current paid period.
6.6 Refunds. Except where required by law, payments are non-refundable and there are no refunds or credits for partially used periods. Where a purchase was made through an app store, refunds are governed by that store's policies. Nothing in this section limits any non-waivable statutory rights you may have as a consumer in your country of residence.
6.7 EU/EEA/UK right of withdrawal. If you are a consumer in the EU/EEA or UK, you may have a 14-day right to withdraw from a Subscription. By starting to use paid features during this period, you request immediate performance and acknowledge that you lose the right of withdrawal once you have accessed and used the Service, and that for partial performance you may owe a proportionate amount.
7. Intellectual Property
7.1 Our rights. The Service, including its software, design, text, graphics, and logos, and all related intellectual-property rights, are owned by us or our licensors and are protected by law. Except for the license in §4.1, no rights are granted to you.
7.2 Trademarks. Yoked and our logos are our trademarks and may not be used without our prior written permission.
7.3 Feedback. If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction or compensation.
8. Safety, Verification, and Screening
8.1 WE DO NOT CONDUCT CRIMINAL BACKGROUND CHECKS. We do not run criminal-history, sex-offender registry, fingerprint, identity checks or other similar checks on
users, and we make no representation about any user's criminal history, background, character, intentions or other information.
8.2 Photo verification (liveness check) — what it does and does not do. We offer an optional photo verification feature. When you use it, you are asked to take a real-time selfie, and our system performs a "liveness" check and compares that selfie against your profile photographs to assess whether the account appears to be operated by a real, live person who matches those photos. A "verified" badge or similar indicator means only that this liveness and photo-comparison check was passed at the time it was performed. The feature does NOT check any government-issued identity document, and it does NOT verify your legal name, identity, age, or any other attribute. It is NOT a criminal background check or identity check, and it is NOT a guarantee that a user is who they claim to be, is safe, or is acting in good faith. The selfie image you submit is used only to perform the check and is then deleted; certain facial measurements (biometric data) derived from it may be retained and processed as described in our Privacy Policy and any separate biometric consent we provide.
8.3 Automated screening (what it is and isn't). To help protect the community, we use automated and machine-learning tools that analyse behavioural and account signals to detect and flag indicators such as policy violations, suspected fake or fraudulent accounts, spam, abusive or troll-like behaviour, and attempts at ban evasion or re-registration by previously removed users. These tools are limited, probabilistic, and imperfect. They are not a background check, a safety guarantee, a psychological or medical assessment, or a substitute for your own judgment and caution. They may not detect every bad actor, and they may occasionally flag legitimate users. Where these tools could lead to a decision that significantly affects your account (such as suspension or banning), a human member of our team will review that decision on request, and you may appeal (see §16.4).
8.4 You are responsible for your own safety. Because we do not verify users (and photo verification confirms only a liveness and photo match), you interact with other users at your own risk. You agree to take reasonable precautions in all interactions with other users of the Services, which includes considering and following (to the maximum extent possible) these non-exhaustive recommendations from us: (a) never send money or share financial information with other users; (b) keep communications on the Service until you are comfortable to communicate with other users on other platforms; (c) meet in public places, tell a friend or family member your plans, and arrange your own transportation for meetings; (d) be cautious about sharing personal information (e.g. home address, workplace, financial details); (e) report and block any user who behaves inappropriately; and (f) contact local law-enforcement or emergency services if you feel unsafe.
8.5 Assumption of risk. You acknowledge that ultimately, you decide on your course of action and scope of interaction with other users. Therefore, you assume all risk associated with interactions and meetings with other users, whether online or in person. We are not responsible or liable for your conduct, and to the maximum extent permitted by law, you agree that we are not responsible or liable for the conduct of any user.
9. Privacy and Personal Data
9.1 Privacy Policy. How we collect and handle personal data is described in our Privacy Policy [LINK], which forms part of these Terms. Please read it carefully.
9.2 We do not sell your personal data. We do not sell, rent, or trade your personal data to third parties. This commitment applies for as long as the Service remains under our ownership and control. A change of ownership or control is addressed in §9.3.
9.3 Business transfers (change of ownership or control). If we are involved in a merger, acquisition, investment, reorganisation, or sale of all or part of our business or assets that would involve transferring your personal data to another entity, we will handle your data as set out in the Privacy Policy, including notifying you in advance and providing you with an opportunity to opt-out from such transfer, before your individual personal data is transferred to the acquiring entity.
10. Third-Party Services, App Stores, and Links
10.1 App stores. Your download and use of the app may be subject to the terms of the app store you use. If there is a conflict between those terms and these Terms regarding store-specific matters (e.g., billing), the store's terms apply to those store-specific matters. If there is a conflict between other matters, these Terms shall prevail.
10.2 Third-party content and links. The Service may contain links to, or integrations with, third-party services we do not control. We are not responsible for third-party services, and your use of them is at your own risk and subject to their terms.
11. Disclaimers
11.1 "As is." To the maximum extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
11.2 No guarantee of results or users. We do not warrant that the Service will be uninterrupted, secure, or error-free, that any defect will be corrected, or that you will find a match, relationship, or any particular outcome. We make no representations or warranties about the identity, conduct, compatibility or other characteristics of any user, and makes no guarantee as to the number of active users at any time.
11.3 Consumer rights. Some jurisdictions do not allow the exclusion of certain warranties. Nothing in these Terms excludes or limits any warranty or right that cannot lawfully be excluded or limited.
12. Limitation of Liability
12.1 Exclusion of certain damages. To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, other intangible losses, emotional distress and/or any other damages, arising out of or relating to the Service.
12.2 Liability cap. To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid us in the [twelve (12)] months before the event giving rise to the claim, or (b) [HK$ AMOUNT].
12.3 What we do not exclude. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law. If you are a consumer, your mandatory statutory rights are not affected.
13. Indemnification
To the maximum extent permitted by law, you agree to fully indemnify, defend and hold harmless [YOKED LIMITED] and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees on an indemnity basis) arising out of or related to (a) your User Content, (b) your use of the Service, (c) your breach of these Terms, or (d) your violation of any law or of any third party's rights. This section does not apply to the extent a claim arises from our own breach or negligence, or where it is unenforceable against you as a consumer under applicable law.
14. Term and Termination
14.1 By you. You may stop using the Service and delete your account at any time through the in-app settings or by contacting [SUPPORT CONTACT].
14.2 By us. We may suspend or terminate your access in accordance with §16 (including for breach of these Terms or to protect the Service or other users), as well as for legitimate operational or legal reasons with reasonable notice where practicable.
14.3 Effect of termination. On termination, your license to use the Service ends. Sections that by their nature should survive (including §5.2 (as limited), §7, §8.5, §11–§13, §17, and §18) will survive. We handle post-termination data as described in the Privacy Policy, including retaining limited information where required for legal, safety, fraud-prevention, or dispute-resolution purposes.
15. Changes to the Service and to These Terms
15.1 Changes to the Service. We may modify, suspend, or discontinue features of the Service. Where a change materially and adversely affects a paid feature you are using, we will act reasonably and in accordance with applicable consumer law.
15.2 Changes to these Terms. We may update these Terms from time to time. If we make material changes, we will provide reasonable advance notice (e.g., in-app or by email) before they take effect. Your continued use after the changes take effect constitutes acceptance; if you do not agree with the updated Terms, you should stop using the Service.
16. Suspension, Restrictions, and Enforcement
16.1 Grounds. We may warn, restrict, suspend, or permanently ban your account, or remove or restrict your User Content, if we reasonably believe you have breached these Terms or the Community Guidelines, created risk or legal exposure for us or others, or engaged in conduct harmful to other users or the Service.
16.2 Actions we may take. Depending on severity, action may range from a warning or content removal to feature restriction, suspension, or permanent banning. Serious cases may be reported to the appropriate authorities, and we may share your personal data with such appropriate authorities in accordance with §7 of our Privacy Policy.
16.3 Effect on Subscriptions. If we terminate or suspend your account because of your breach, you will not be entitled to any refund except as required by mandatory law.
16.4 Review and appeals. If we suspend, restrict, or ban your account, you may request review by contacting [APPEALS CONTACT]. A human member of our team — not an automated system — will review the decision, and you may submit information in support of your appeal. The decision of the human member of our team shall be final and shall not be subjected to further review and/or appeal. Where required by law (including the Digital Services Act of the European Union and Article 22 of the General Data Protection Regulation of the United Kingdom (“GDPR”) concerning automated decisions), we will provide a statement of reasons and a means to contest the decision.
17. Governing Law and Dispute Resolution
17.1 Governing law. These Terms are governed by the laws of Hong Kong, without regard to conflict-of-laws rules, except that if you are a consumer resident elsewhere, you may also benefit from any mandatory consumer-protection provisions of the law of your country of residence.
17.2 Jurisdiction. The courts of Hong Kong shall have non-exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
17.3 Consumer carve-out. Notwithstanding §17.2, where mandatory law in a consumer's country of residence gives that consumer the right to bring proceedings in their local courts, that mandatory law prevails.
18. General Provisions
18.1 Entire agreement. These Terms, together with the Privacy Policy and Community Guidelines, are the entire agreement between you and us regarding the Service and supersede any prior agreements.
18.2 Severability. If any provision is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary.
18.3 No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
18.4 Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, subject to §9.3 and the Privacy Policy.
18.5 Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
18.6 Notices. We may give notices through the Service, by email, or by other reasonable means. Notices to us should be sent to [LEGAL/NOTICES CONTACT].
18.7 Language. These Terms may be provided in other languages for convenience; in the event of conflict, the [English] version prevails, except where applicable law requires otherwise.
